Idaho Annual Report Due Date

The deadline is the last day of your anniversary month, meaning the month your entity was formed (or registered here, for out-of-state companies). The filing window opens on the 1st of that same month. Formed your LLC in June? You can file anytime June 1 through June 30, every single year.

The whole thing is basically a review screen. Idaho pre-fills what it already knows about your entity; you confirm it.

  1. Log in to your SOSBiz account. The state's SOSBiz help page covers account setup if you're new.
  2. Find your entity under My Records and open the annual report task.
  3. Check the pre-filled details: entity name and home jurisdiction, registered agent name and address, the principal office's street and mailing addresses, and at least one governor. ("Governor" is the code's catch-all word for a member, manager, or director.)
  4. Sign and submit. Everything has to be accurate as of the day you sign; that's § 30-21-213(b) talking, not us being picky.

Two gotchas. You can't change your entity's name on this filing (that takes a separate amendment). And if you type in different registered agent details, Idaho processes them as a statement of change under § 30-21-407. Stuck? The Secretary of State keeps an annual report help page too.

What Happens If You File Late

There's no late fee. Idaho skips the fine and goes after the entity itself. Miss the end of your anniversary month and you're delinquent; roughly 60 days past the due date, the state administratively dissolves your LLC or corporation under Idaho Code § 30-21-602. Foreign entities get their certificate of authority revoked instead (§ 30-21-511).

And dissolution is the bad ending:

  • Liability protection evaporates, exposing personal assets
  • You lose good standing with banks, lenders, and courts
  • Your entity name can be scooped up by someone else
  • Reinstatement means catch-up filings and extra paperwork
