Terms of Service

Effective Date: May 17, 2026

These Terms govern your use of idahoregisteredagent.co (the "Site") and the registered agent services ("Services") provided by Idaho Registered Agent.co ("we," "us," "our"). Using the Site or Services means you accept these Terms.

1. What We Do

Idaho Registered Agent.co provides:

• A physical registered agent address in Boise, Idaho for state filings
• Acceptance of service of process and government documents during business hours
• Same-day scanning and electronic delivery of received documents
• Annual report deadline reminders
• Secure online document portal access

2. Who Can Use Our Services

You must be at least 18 and authorized to act for the business entity you're registering. You agree to provide accurate, current information during enrollment and to keep it updated.

3. What It Costs

• Annual fee: $99
• Due at enrollment and at each annual renewal
• Accepted payment methods are shown on the Site
• If payment fails, we'll let you know and may pause Services until resolved
• Pricing may change with 30+ days' notice before your renewal

4. How Long Service Runs

One year from enrollment. Renews automatically at the current annual rate unless you cancel before renewal.

5. Your Side of the Deal

You agree to:

• Keep your entity info current in our records
• Tell us promptly about name changes, contact changes, or entity status changes
• Check and act on forwarded documents within a reasonable time
• Keep your entity in good standing with Idaho (file annual reports, maintain compliance)
• Properly designate us with the state as your agent

6. How We Handle Documents

• Accepted during business hours (Mon-Fri, 9 AM - 5 PM MT, excluding state holidays)
• Scanned and emailed same business day
• We're not responsible for what's in the documents or what they mean legally
• Physical originals are kept for a reasonable period, then securely destroyed

7. We're Not Lawyers

Idaho Registered Agent.co is not a law firm. We don't give legal advice, tax guidance, or formation counsel. We receive and forward documents. That's our lane. Talk to a licensed attorney for legal matters.

8. Liability Limits

To the extent the law allows:

• Our total liability caps at the fees you've paid us in the preceding 12 months
• We're not liable for indirect, incidental, consequential, special, or punitive damages
• We're not liable if you fail to act on documents we forwarded
• We're not liable for delays from events we can't control (postal issues, natural disasters, etc.)

9. Indemnification

You agree to defend and hold harmless Idaho Registered Agent.co, its owners, employees, and contractors from any claims, losses, or expenses (including attorney fees) arising from your use of Services or breach of these Terms.

10. Canceling

• Email support@idahoregisteredagent.co anytime
• Takes effect at the end of your current paid year
• No partial refunds unless we decide otherwise
• You're responsible for naming a new agent with the Idaho Secretary of State

11. When We Can Suspend or End Service

We may suspend or terminate if:

• Payment isn't made after reasonable notice
• You gave us materially false info
• Your use of Services breaks the law
• Continuing creates legal risk for us

12. Governing Law

These Terms follow Idaho law. Disputes go to Idaho courts.

13. Changes to These Terms

We may update them. New versions post here with a new date. Continuing to use the Site or Services after that means you accept the updates.

14. Severability

If a court strikes any part of these Terms, the rest stays in effect.

15. Entire Agreement

These Terms plus our Privacy Policy = the full agreement between you and Idaho Registered Agent.co for the Services described.
